Terms of service
1. About us and these terms
1.1 Handover Works is a trading name of P&B Perspective Ltd, a company registered in England and Wales with company number 11340172. Registered office: 5 Jardine House Harrovian Business Village, Bessborough Road, Harrow, England, HA1 3EX. Email: hello@handoverworks.com. "We", "us" and "our" mean P&B Perspective Ltd.
1.2 These terms are an agreement between us and the business that opens a Handover Works workspace ("you"). Handover Works is for businesses only and is not offered to consumers. If you accept these terms for an organisation, you confirm you have authority to bind it.
1.3 These terms include our Acceptable use policy and our Data processing agreement. Our Privacy policy explains how we use personal data for our own purposes.
1.4 You accept these terms when you create a workspace or pay for a plan.
2. The service
2.1 Handover Works lets you build operation and maintenance manuals from a job's paperwork and share them with your client and the people in the building, by link or QR code.
2.2 We may change, add or remove features, plans and allowances at any time.
3. Your workspace and users
3.1 Give us accurate details and keep them up to date.
3.2 You decide who joins your workspace and what each person can do, and you are responsible for everything done in it.
3.3 You sign in with the sign-in methods we make available. Keep your sign-in details and email account secure, and tell us at once if you think someone has used your account without permission.
3.4 Plans include the number of users shown on our pricing page. Each user is one named person. Do not share a sign-in.
4. Free use
4.1 You can build and preview a handover free, within the free allowance shown on our pricing page (about one project's worth of paperwork). Publishing needs a paid plan or a period of free publishing we grant you.
4.2 If a free workspace (one with no paid, granted or hosting period running) is not used for 60 days, we may delete it and its content. We email its administrators at least 14 days before we do.
5. Paid plans and payment
5.1 Plans, what each includes and their prices are shown on our pricing page and at checkout. You pay the price shown at checkout.
5.2 Prices exclude VAT, which is added where it applies.
5.3 Payments are taken by our payment provider. Your plan renews automatically at the end of each month or year, and we charge your payment method, until you cancel.
5.4 You can move to a different plan at any time in the billing page.
5.5 We may change our prices. We tell you before a new price applies to you, and it applies from your next renewal after we tell you.
5.6 If a payment fails and is still not made after our retries, we may end or downgrade your plan. If your plan ends, section 7 applies.
5.7 Payments are not refundable, except where the law requires. If you cancel, your plan continues until the end of the period you have paid for.
5.8 Enterprise plans are agreed in writing. Where an Enterprise agreement and these terms disagree, the Enterprise agreement wins.
6. Cancelling
6.1 You can cancel at any time in the billing page. Your plan continues until the end of the period you have paid for, and then section 7 applies.
7. Your published manuals after a paid or granted period ends
7.1 When your paid period, or a period of free publishing we have granted you, ends, a 12-month hosting period starts. During it, the manuals you have published stay online, read-only, and their links and QR codes keep working. You cannot publish new manuals or new versions, and you can download each published manual.
7.2 If you take out a plan again during the 12 months, your manuals carry on as before.
7.3 When the 12 months end, we take the manuals offline. Their links and QR codes may show a notice instead, which may offer a way to contact you. We then delete their content, and copies in our backups are deleted as those backups expire. We cannot restore a manual once its content is deleted.
7.4 Downloads and exports already made are not affected. If your client should keep a manual, give them a download before the 12 months end.
7.5 We may change this section with at least 30 days' notice by email to your workspace's administrators.
8. Your content
8.1 You keep ownership of what you upload or write in Handover Works and of the manuals you publish ("your content").
8.2 You give us permission to store, copy, process and display your content as needed to provide Handover Works.
8.3 You also give us a worldwide, royalty-free, perpetual and irrevocable permission to use your content, and what we learn from it, to develop and improve Handover Works, including our AI and our shared catalogue of products and their documents. We use personal data in your content for this only in de-identified or aggregated form. This permission continues after this agreement ends.
8.4 You are responsible for your content, including its accuracy, and you confirm you have the right to upload and publish it and to give us these permissions.
8.5 Where a manual uses a manufacturer's or other publisher's document, we may link to it or keep a copy, at our choice. Those documents belong to their publishers, and we may remove one at any time.
8.6 We may use information about how Handover Works is used that does not identify anyone, for any purpose.
9. AI and your approval
9.1 Handover Works may use AI to read your paperwork, find documents and fill in manuals. AI can be wrong and may misread, miss or misattribute information.
9.2 You must check a manual before you publish it. You are responsible for every manual you publish and for what it says, including anything our AI filled in.
11. Attribution
11.1 We may show attribution to Handover Works on your manuals, as described on the pricing page.
12. Personal data
12.1 Where your content contains personal data, you are the controller and we are your processor, and our Data processing agreement applies. It forms part of these terms.
13. Suspension and ending
13.1 We may suspend or close your workspace, or remove content or a manual, if you break these terms or the acceptable use policy, if we reasonably believe there is a risk to people, to the service or to other customers, or if the law requires. We may do so without notice. Non-payment is dealt with under sections 5.6 and 7 instead.
13.2 We may stop offering Handover Works with at least 12 months' notice. During that time your published manuals stay online and you can download them.
13.3 Sections 7, 8.2, 8.3, 8.6, 12 (with the Data processing agreement), 13, 15, 16 and 18 continue after this agreement ends.
14. Availability
14.1 We provide Handover Works as it is and as available. We do not promise that it will be uninterrupted, error-free or available at any particular time, or that it will meet your needs. Any terms implied by law are excluded as far as the law allows.
14.2 We are not responsible for delays or failures caused by events beyond our reasonable control.
15. Our intellectual property
15.1 Handover Works, its software, design and name belong to us or our licensors. You may use them only to use the service under these terms. Do not copy, resell or reverse-engineer the service.
15.2 We may use any feedback or suggestions you give us freely.
16. Liability
16.1 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited.
16.2 We are not liable for loss of profit, revenue, business, goodwill or anticipated savings, for loss or corruption of data, or for any indirect or consequential loss.
16.3 We are not liable for the content of your manuals, including anything our AI filled in that you published.
16.4 Otherwise, our total liability to you, under these terms, the Data processing agreement or in any other way, is limited to the fees you paid us in the 12 months before the claim, or £100 if that is greater.
16.5 You will compensate us for claims made against us by others, and the losses and costs that follow, arising from your content or from your breach of these terms.
17. Changes to these terms
17.1 We may update these terms. We tell your workspace's administrators before a material change takes effect. If you keep using Handover Works after it takes effect, you accept the change.
18. General
18.1 We may send notices to the email address of your workspace's administrators.
18.2 You may not transfer this agreement without our written consent. We may transfer it.
18.3 These terms are the whole agreement between us about Handover Works and replace anything said or written before.
18.4 If any part of these terms is unenforceable, the rest still applies.
18.5 If we do not enforce a right straight away, we can still enforce it later.
18.6 No one else has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
18.7 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
18.8 As you are a business, regulations 9(1), 9(2) and 11(1) of the Electronic Commerce (EC Directive) Regulations 2002 do not apply.
